Terms of Service

These Terms of Service ("Terms") govern your access to and use of Xarvox (the "Service"), operated by Xarvox ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@xarvox.com if you suspect unauthorized access.

3. Acceptable Use

You agree NOT to use the Service to:

• Upload or process content you do not have the legal right to use, including copyrighted video without permission from the rights holder;
• Clone, imitate, or impersonate any person's voice without their express, documented consent;
• Create deepfakes, disinformation, or content intended to deceive, defraud, or harm any person;
• Process content involving minors in any sexual, exploitative, or otherwise harmful manner;
• Violate any applicable law, including copyright, trademark, privacy, or publicity laws;
• Reverse-engineer, scrape, or attempt to extract our models, code, or infrastructure;
• Interfere with the Service's operation or other users' access.

We reserve the right to suspend or terminate your account and refuse any content that violates these rules.

4. Voice Cloning Consent

When you upload a voice sample, you represent and warrant that you are the voice's owner or have obtained the voice owner's express written permission to clone it. You agree not to use cloned voices to impersonate anyone, to create misleading content, or for any purpose prohibited by Section 3.

5. Payment and Subscriptions

Payments are processed by Paddle.com Market Limited ("Paddle"), our merchant of record. Paddle handles all billing, invoicing, tax collection, and payment support. When you subscribe, you enter into a billing relationship with Paddle in addition to these Terms.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time from your dashboard; access continues until the end of the current paid period. See our Refund Policy for details on refunds.

All prices are shown exclusive of applicable taxes unless stated otherwise. Paddle adds and remits VAT, GST, or sales tax based on your billing address.

6. Credits and Usage

Paid plans include a monthly balance of credits used to pay for dubbing and voice generation. Unused credits roll over for 30 days and then expire. Credits have no cash value and are not transferable.

7. Your Content and Intellectual Property

You retain all rights to the video, audio, and text you upload. We claim no ownership over your content. By uploading content, you grant us a limited, non-exclusive license to process, store, and deliver it solely to provide the Service to you.

You own the outputs we generate for you (dubbed videos, synthesized audio). You are responsible for ensuring your use of those outputs complies with all applicable laws and third-party rights.

We own the Service, our models, our code, our brand, and any improvements to them. Nothing in these Terms transfers ownership of that intellectual property to you.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that output will be error-free, uninterrupted, or fit for any particular purpose. AI-generated content may contain errors; you are responsible for reviewing any output before use.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from your use of the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of the Service, your content, or your violation of these Terms or any third-party rights.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in the dashboard. Continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Service will be resolved in the courts of Pakistan, unless mandatory consumer protection laws in your jurisdiction provide otherwise.
